1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer", "User", or "you") and Turizi Inc. ("Turizi", "we", "us", or "our"). By creating an account, accessing, or utilizing our website, platform, APIs, or related applications (collectively, the "Service"), you confirm that you have read, understood, and agreed to be bound by these Terms.

If you are entering into these Terms on behalf of a company, organization, or legal entity, you represent that you possess full legal authority to bind such entity to these Terms.

2. Description of the Service

Turizi is an all-in-one software-as-a-service (SaaS) platform tailored for Destination Management Companies (DMCs), incoming tour operators, and travel agencies. The Service provides tools for visual proposal design, itinerary planning, dynamic pricing, supplier bookings, multi-currency financial ledgers, and operational communications.

We reserve the right to modify, enhance, update, or discontinue features of the Service at any time, provided that core functionality under active paid subscriptions is not materially degraded without notice.

3. User Accounts and Security

• Registration & Eligibility: You agree to provide accurate, current, and complete information during registration and keep your account details updated.
• Credential Confidentiality: You are solely responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your organization's workspace accounts.
• Notification: You must immediately notify Turizi at contacto@turizi.com upon discovering any unauthorized access, compromised passwords, or security breaches.

5. Acceptable Use Policy

You agree not to use the Service to:

• Violate any applicable international, national, or local laws or regulations.
• Send unsolicited bulk emails, spam, phishing, or misleading marketing messages.
• Upload or distribute malicious software, viruses, or harmful technical code.
• Attempt to decompile, reverse-engineer, disassemble, or derive the source code of the Service.
• Interfere with, breach, or circumvent any security controls or multi-tenant boundaries of our platform.
• Impersonate any person, business, or entity, or misrepresent your affiliation with Turizi.

6. Intellectual Property and Data Ownership

Turizi IP: All rights, title, and interest in and to the platform, software, design, code, logos, documentation, and trademarks belong exclusively to Turizi Inc. and its licensors.

Customer Data: You retain full ownership of all data, reservations, pricing tables, passenger information, and documents uploaded to your workspace ("Customer Data"). You grant Turizi a limited, non-exclusive license to host, store, and process Customer Data solely as necessary to provide and operate the Service.

7. Subscriptions, Fees & Cancellation

• Subscription Plans: Access to the Service is provided on a recurring subscription basis (monthly or annual). Pricing is published on our website or detailed in custom service agreements.
• Commission-Free: Turizi does not charge commission fees per reservation or booking transaction created on your platform.
• Cancellation: You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing cycle, and prepaid fees are non-refundable except where required by law.

Either party may terminate these Terms for cause if the other party materially breaches any provision and fails to cure such breach within thirty (30) days of receiving written notice. We may immediately suspend or terminate access if your use poses an immediate security risk to the Service, other customers, or violates the Acceptable Use Policy.
